Membership Terms

These terms govern membership of the UK India Strategic Investment Forum. Please read them carefully before applying. By submitting an application and paying the membership fee, the member organisation agrees to be bound by them.

1. About us and these terms

1.1 UKISIF is operated by UK India Strategic Investment Forum Ltd (UKISIF, we, us or our), a company registered in England and Wales under company number 17074322, whose registered office is at Thames House, 3 Wellington Street, London, England, SE18 6NY.

1.2 These Membership Terms, together with your accepted application, our Code of Conduct and any fee confirmation we send you, form the agreement between UKISIF and the member (the Agreement).

1.3 Our Website Terms of Use, Privacy Policy and Cookie Policy also apply. If there is any conflict, these Membership Terms take priority for matters relating to membership.

1.4 Membership is offered to organisations and to senior individuals acting in the course of business. It is not offered to consumers.

2. Definitions

2.1 In these terms:

Member means the organisation (or, where we accept an individual applicant, that individual) whose application we accept.

Representatives means the named individuals nominated by the Member to use the membership, up to the number set out in the fee confirmation.

Membership Year means 12 months from the start date stated in the fee confirmation, and each 12-month renewal period after that.

Benefits means the services and access described on our membership page and in the fee confirmation, as updated from time to time under clause 4.3.

Programme means our roundtables, briefings, delegations, consultations, forums and other events.

Code of Conduct means our published code of conduct and conflict-of-interest protocol for members.

3. Applying for membership

3.1 Membership is by application. We assess every application against our published eligibility standard, which requires the applicant to:

(a) be a legally established organisation, or a senior individual acting for one;

(b) have a genuine commercial, investment or policy interest in the UK–India corridor;

(c) pass our due diligence checks, including identity, ownership and sanctions screening; and

(d) agree to these terms and the Code of Conduct.

3.2 We may ask for further information, hold an introductory call and check public sources such as Companies House before making a decision.

3.3 We may accept or decline any application at our discretion and are not obliged to give reasons. The Agreement starts when we confirm acceptance in writing and you pay the membership fee.

3.4 You confirm that all information you give us is true, complete and not misleading, and you will tell us promptly if it changes.

4. Membership benefits

4.1 During each Membership Year, Members and their Representatives are entitled to the Benefits, which typically include:

(a) access to government and regulator roundtables and closed sessions;

(b) sector briefings, policy updates and market intelligence;

(c) introductions to relevant decision-makers, partners and advisers, where appropriate;

(d) an action register recording agreed next steps and progress;

(e) priority places on delegations and site visits; and

(f) the opportunity to contribute evidence to policy consultations.

4.2 Places at events are subject to availability, venue capacity and any eligibility rules set by co-hosts or government participants. Some sessions are by invitation only.

4.3 We may change, add to or withdraw Benefits from time to time, provided we do not materially reduce the overall Benefits during a Membership Year without offering a fair adjustment.

4.4 Membership is for the Member's own business purposes. Benefits may be used only by the named Representatives. The Member may replace a Representative by giving us written notice.

5. What membership does not include

5.1 Membership is a networking, policy-engagement and information service. It does not include legal, tax, financial, investment or other professional advice, and nothing we provide should be relied on as such.

5.2 Paid advisory engagements are kept separate from membership and policy engagement. Any advisory work is agreed under a separate engagement letter with its own terms and fees.

5.3 We do not guarantee any outcome from membership, including any meeting, introduction, approval, investment, contract or policy change.

5.4 Nothing we provide is an offer, invitation or inducement to engage in investment activity. [UKISIF is not authorised or regulated by the Financial Conduct Authority.]

6. Introductions

6.1 We make introductions only where we reasonably consider them appropriate and only with the agreement of both parties.

6.2 Any arrangement between a Member and a third party is solely between them. Each Member is responsible for its own due diligence, professional advice and decisions.

6.3 We do not endorse or guarantee the conduct, solvency or performance of any Member, partner, official or other person we introduce.

7. Fees and payment

7.1 The membership fee for each Membership Year is set out in the fee confirmation. Fees are payable annually in advance, in pounds sterling unless we agree otherwise.

7.2 Fees are exclusive of VAT, which will be added where applicable. Invoices are payable within 30 days of the invoice date.

7.3 If payment is late, we may suspend access to the Benefits until it is received. We may also charge interest on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998.

7.4 We may change the membership fee for future Membership Years by giving at least 60 days' written notice before the renewal date.

7.5 Except as set out in clauses 10.3 and 11.2, fees are non-refundable.

8. Member obligations and Code of Conduct

8.1 Each Member must, and must ensure its Representatives:

(a) comply with the Code of Conduct and any reasonable instructions given at events;

(b) behave professionally and respectfully towards other members, officials, partners and our team;

(c) not use the membership to solicit other attendees in an unwelcome or aggressive way;

(d) disclose any conflict of interest that is relevant to a session, introduction or consultation;

(e) comply with all applicable laws, including anti-bribery, anti-corruption, sanctions and data protection laws; and

(f) not offer or give any gift, hospitality or payment to any public official in connection with our Programme.

8.2 Many sessions are held under the Chatham House Rule. Members may use information received, but must not reveal the identity or affiliation of the speaker or any other participant.

8.3 Members must not suggest that UKISIF, or any government or partner organisation, endorses them or their business without our prior written consent.

9. Confidentiality

9.1 Each party will keep confidential any information marked as confidential, or which a reasonable person would understand to be confidential, that it receives from the other in connection with membership.

9.2 This does not apply to information that is already public (other than through a breach of this clause), that the recipient already lawfully held, or that must be disclosed by law or a regulator.

9.3 Members should not share commercially sensitive information in group sessions. Where detailed information needs to be shared, we can agree a separate confidentiality agreement.

9.4 These obligations continue for three years after the membership ends.

10. Term, renewal and cancellation

10.1 Membership lasts for one Membership Year from the start date.

10.2 Membership renews automatically for further Membership Years unless either party gives at least 30 days' written notice before the renewal date. We will remind you of the renewal date and fee at least 60 days in advance.

10.3 If the Member cancels within 14 days of the start date and has not attended any event or received any introduction, we will refund the membership fee in full.

10.4 Otherwise, the Member may end its membership at any time by written notice, but no refund will be given for the remainder of the Membership Year.

11. Suspension and termination by us

11.1 We may suspend or end a membership immediately by written notice if the Member or any Representative:

(a) materially or repeatedly breaches these terms or the Code of Conduct;

(b) fails to pay fees within 30 days of a reminder;

(c) gave false or misleading information in its application;

(d) becomes subject to sanctions, insolvency proceedings or a relevant criminal investigation; or

(e) acts in a way that we reasonably consider brings, or is likely to bring, UKISIF, other members or our partners into disrepute.

11.2 We may end any membership for any other reason by giving at least 30 days' written notice. In that case we will refund a proportionate share of the fee for the unused part of the Membership Year.

11.3 No refund is due where we end a membership under clause 11.1.

11.4 When membership ends, all Benefits stop. Clauses 5, 6, 9, 12, 13 and 16 continue to apply.

12. Intellectual property

12.1 We, or our licensors, own all intellectual property in our reports, briefings, presentations, research and other materials. Members may use them for their own internal business purposes only.

12.2 Members must not resell, republish or distribute our materials outside their organisation without our written consent.

12.3 Where the Member agrees in its application, it grants us a non-exclusive, royalty-free licence to use its name and logo to identify it as a member, on our website and in member materials. The Member can withdraw this agreement at any time by telling us in writing.

13. Liability

13.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

13.2 Subject to clause 13.1, we will not be liable for any loss of profits, revenue, business, contracts, opportunity, goodwill or anticipated savings, or for any indirect or consequential loss, however arising.

13.3 Subject to clause 13.1, our total liability to a Member arising under or in connection with membership in any Membership Year is limited to the membership fee paid by that Member for that Membership Year.

13.4 We are not responsible for the acts or omissions of other members, government participants, partners, venues or anyone we introduce.

14. Data protection

14.1 We process personal data of Members and Representatives as described in our Privacy Policy, including to assess applications, deliver Benefits, make introductions and manage the member directory.

14.2 Where a Member gives us personal data about its Representatives or colleagues, it confirms that it is entitled to do so and has told them about our Privacy Policy.

15. Events beyond our control

15.1 We are not liable for any delay or failure to provide Benefits caused by events beyond our reasonable control, including changes in government, travel disruption, public health measures, industrial action or the cancellation of events by third parties. Where an event is cancelled, we will try to offer an alternative or rescheduled session.

16. General

16.1 We may update these terms from time to time. Changes take effect from the next Membership Year, unless they are required by law or are minor and do not disadvantage Members, in which case they may take effect sooner on notice.

16.2 Members may not transfer their membership to another organisation without our written consent.

16.3 Notices must be in writing and may be sent by email: to UKISIF at info@ukindiasif.com, and to the Member at the email address in its application.

16.4 If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force.

16.5 A delay or failure to enforce any right does not waive it.

16.6 No one other than UKISIF and the Member has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

16.7 The Agreement is the entire agreement between the parties about membership and replaces any earlier discussions or arrangements.

17. Governing law and disputes

17.1 These terms and any dispute arising from them are governed by the law of England and Wales.

17.2 The parties will first try in good faith to resolve any dispute through discussion between senior representatives. If it is not resolved within 30 days, the courts of England and Wales have exclusive jurisdiction.
